1. Agreement to These Terms
Welcome to Brain Health Matters, LLC (“Brain Health Matters,” “I,” “me,” or “my”). These Terms and Conditions (“Terms”) govern your access to and use of www.brainhealthmattersllc.com (the “Website”), including any content, digital products, quizzes, educational materials, coaching, workshops, organizational training, consultation, communications, or other services made available through the Website (collectively, the “Services”).
By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or Services.
I may update these Terms from time to time. I will post the updated version on this page with a revised effective date. Your continued use of the Website or Services after the updated Terms are posted means you accept the revised Terms.
2. Educational and Coaching Scope
Brain Health Matters provides educational, skills-based coaching, training, and informational resources. The Services may address brain health, resilience, habits, stress awareness, emotional-regulation skills, performance under pressure, sports-family dynamics, faith-aligned practices, and related personal or professional development topics.
All Brain Health Matters coaching, Digital Products, workshops, training, assessments, and educational materials are non-clinical and educational in nature. The Website and Services are not medical care, mental-health treatment, psychotherapy, counseling, diagnosis, crisis intervention, or a substitute for care from a qualified healthcare or mental-health professional. Your use of the Website or Services does not create a therapist-client, physician-patient, counselor-client, fiduciary, or other professional treatment relationship.
Any clinical or counseling services offered by me outside of Brain Health Matters, if any, require a separate clinical intake process, informed-consent documentation, and separate written terms. Such services are not created, offered, or governed by your use of this Website or these Services.
You are responsible for your own decisions, actions, health, and well-being. If you have a medical, psychological, psychiatric, substance-use, or other health concern, seek advice from an appropriately qualified professional. If you are experiencing an emergency or believe that you may harm yourself or another person, call 911, contact local emergency services, or contact the 988 Suicide & Crisis Lifeline in the United States by calling or texting 988.
3. No Guarantee of Results
I aim to provide practical, thoughtful, and useful education. However, individual results vary. I do not promise, represent, or guarantee any particular outcome from the Website or Services, including outcomes related to health, well-being, stress, relationships, performance, school, work, sport, income, or business.
Testimonials, case examples, stories, and client experiences are shared for illustrative purposes only. They are not a promise or guarantee that you or your organization will achieve similar results.
4. Services for Individuals, Families, and Organizations
The Services may be offered to individual adults, sports families, teen athletes through a parent or guardian, schools, athletic programs, churches, teams, and other organizations.
4.1 Individual and Family Services
Individual and family coaching is educational and skills-based. It is not clinical care or treatment. You remain responsible for determining whether the Services are appropriate for your situation and for seeking additional professional support when needed.
4.2 Organizational Training and Consulting
Organizational workshops, professional development, presentations, team training, consulting, and customized programs are educational. They are not clinical mental-health services, employee assistance programs, crisis services, or a replacement for an organization’s legal, human-resources, safety, healthcare, or referral systems.
The scope, fee, scheduling, cancellation terms, deliverables, and any organization-specific responsibilities may be governed by a separate written proposal, service agreement, or statement of work. If a separate written agreement conflicts with these Terms, the separate written agreement controls for that engagement.
4.3 Services for Minors
Services involving a person under 18 years old must be requested, purchased, authorized, and supervised by that minor’s parent or legal guardian. A minor may not independently purchase, enroll in, or agree to Services. By registering, purchasing, booking, or authorizing Services for a minor, you represent that you are the minor’s parent or legal guardian and have authority to agree to these Terms on the minor’s behalf.
Except where a separate written agreement states otherwise, the parent or legal guardian is the primary contact for enrollment, scheduling, payment, and decisions related to Services. The parent or legal guardian is also responsible for supervising the minor’s use of Digital Products and participation in virtual Services, as appropriate.
Parents and guardians remain responsible for determining whether Services are appropriate for the minor and for obtaining any medical, mental-health, educational, athletic, or other professional support the minor may need.
5. Digital Products, Resources, and Access
The Website may offer digital guides, assessments, quizzes, courses, templates, videos, audio, downloadable resources, or other educational products (“Digital Products”).
When you purchase, download, access, or receive a Digital Product, Brain Health Matters grants you a limited, revocable, non-exclusive, non-transferable license to use that Digital Product for your own personal or internal organizational use, as applicable. You may not reproduce, distribute, sell, license, publish, share, modify, create derivative works from, or otherwise exploit any Digital Product or Website content without my prior written permission.
Access to Digital Products may be limited by the technology, platform, purchase type, or terms displayed at the point of purchase. I may update or discontinue Digital Products, provided that doing so will not materially reduce access to a product you have already purchased except where necessary for legal, technical, security, or platform-related reasons.
6. Purchases, Payments, and Refunds
All prices are shown in U.S. dollars unless stated otherwise. By purchasing a product or service, you authorize Brain Health Matters or its third-party payment processor to charge the payment method you provide for the applicable amount, including any applicable taxes.
Digital Products are final sale once they have been accessed, delivered, or downloaded, except where a refund is required by applicable law or expressly stated in writing at the point of purchase.
Coaching, training, workshops, consultations, organizational services, and other live or customized services may have separate cancellation, rescheduling, payment, and refund terms in a booking confirmation, proposal, invoice, service agreement, or statement of work. Those written terms control for the applicable service.

7. Affiliate Links, Third-Party Products, and Resources
From time to time, I may share or link to books, tools, products, services, technology, programs, or other resources that I personally use, have explored, or believe may be relevant to the topics discussed on the Website or in the Services.
Some links may be affiliate links. If you purchase through an affiliate link, I may receive a commission or other compensation at no additional cost to you, unless clearly stated otherwise. When an affiliate relationship exists, I will make a clear disclosure near the relevant link, recommendation, or resource.
A resource that I share, use, or discuss reflects my personal experience or professional judgment at the time it is shared. It does not mean that I endorse every feature, claim, practice, or policy of the third party. It is not a warranty that the product or service is appropriate for you, safe for you, effective for you, or likely to produce any particular result.

8. Intellectual Property
The Website, Services, Digital Products, frameworks, assessments, written materials, graphics, branding, logos, videos, audio, worksheets, and other content are owned by or licensed to Brain Health Matters and are protected by applicable intellectual-property laws.
You may view, download, and print content only for your personal or internal organizational use, provided that you keep all proprietary notices intact. You may not use any Brain Health Matters content, name, logo, trademark, or branding in a way that suggests sponsorship, affiliation, or endorsement without prior written permission.
You may not use my content to train artificial-intelligence systems, create competing materials, resell educational resources, or reproduce content for commercial purposes without my prior written permission.
9. Acceptable Use
You agree to use the Website and Services lawfully and respectfully. You may not:
•violate any law, regulation, or third-party right;
•interfere with Website security or attempt to gain unauthorized access to the Website, systems, accounts, or data;
•transmit malware, harmful code, spam, or unsolicited promotional communications;
•impersonate another person or misrepresent your identity or authority;

If you submit a question, testimonial, review, comment, survey response, image, video, or other material to Brain Health Matters (“User Content”), you represent that you have the right to submit it and that it does not violate another person’s rights.
I may use User Content on a limited, non-exclusive basis as reasonably necessary to receive, review, respond to, store, administer, secure, and improve the Website and Services. Submitting User Content does not automatically grant permission for promotional use.
I will not publicly use, publish, reproduce in marketing, or share a testimonial, review, survey response, image, video, personal story, case example, or other User Content that identifies or could reasonably identify you unless I first obtain your affirmative permission. Permission for promotional use may be requested separately in writing or through a clear consent process. I will honor the scope of any permission you provide.
Please do not submit confidential, urgent, crisis-related, or highly sensitive personal information through a general Website contact form, quiz, comment area, or email unless I have expressly requested it through a secure channel.

Some jurisdictions do not allow certain warranty exclusions. Where those laws apply, the exclusions in these Terms apply only to the fullest extent permitted by law.
13. Limitation of Liability
To the fullest extent permitted by law, Brain Health Matters, LLC and its owner, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunity, or business interruption, arising from or related to your use of or inability to use the Website, Services, Digital Products, or third-party resources.
To the fullest extent permitted by law, the total liability of Brain Health Matters for any claim arising from or related to the Website, Services, or Digital Products will not exceed the amount you paid directly to Brain Health Matters for the specific product or service giving rise to the claim during the six months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Brain Health Matters, LLC and its owner, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, misuse of the Website or Services, violation of applicable law, or violation of another person’s rights.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Before filing a legal claim, you agree to contact me at [email protected] and provide a reasonable opportunity to attempt to resolve the matter informally.
Any legal action or proceeding arising from or related to these Terms, the Website, or the Services will be brought in the state courts of competent jurisdiction serving Santa Rosa County, Florida, or, where federal jurisdiction applies, in the United States District Court for the Northern District of Florida, unless applicable law requires otherwise. You consent to the jurisdiction of those courts.
16. Electronic Communications
By using the Website or Services, you agree that I may communicate with you electronically, including by email, Website notice, or other electronic means. You agree that electronic communications and agreements satisfy any legal requirement that communications or agreements be in writing, to the extent permitted by law.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. My failure to enforce a provision of these Terms is not a waiver of that provision. You may not assign or transfer your rights or obligations under these Terms without my prior written consent. These Terms, together with any applicable Privacy Policy, purchase terms, booking confirmation, proposal, service agreement, or statement of work, constitute the entire agreement between you and Brain Health Matters regarding the Website or applicable Services.
